You (hereinafter referred to as "you" or "Creator") are required to accept these Terms in order to use the Service. The Terms are accepted by explicitly clicking "I accept" when requested to do so upon registering your Account.

Your acceptance of the Terms is signified by your explicit act of clicking "I accept" or a similar indication when prompted during the Account registration process (hereinafter referred to as the "Registration Process").

Definitions

Creator:

An individual or entity who professionally creates and publishes content on social media platforms in exchange for payment or products. Creators are also commonly referred to as "influencers" within this Agreement.

Talent Agency:

An agency that acts on behalf of Creators (including those they manage) to negotiate and secure booking agreements for their services. Talent Agencies may be considered "Creators" under this Agreement when acting within the scope of such representation.

Client:

Any legal entity, such as a company or organisation, that subscribes to the Service offered by [Name of Platform] ("Platform"). Clients are also referred to as "customers" or "buyers" of the services provided.

Advertiser:

A company that purchases advertising and promotional services, potentially utilising Creators on the Platform.

Agency (Digital/PR/Media):

An agency that represents Advertisers in securing booking agreements with Creators on the Platform. These agencies may specialise in digital marketing, public relations, or media buying.

Booking Agreement:

A separate agreement established between a Creator and a Client that details the specific terms of a collaboration, based on a booking request initiated through the Platform (as further described in Section 4).

Self-Service Agreement and Full-Service Agreement:

These are separate agreements between a User and the Platform that govern the User's access and use of the Platform's services. The specific agreement applicable will depend on the level of service chosen by the User.

Accounts:

User accounts established on the Platform to facilitate collaborations between Creators and Clients. A single User may have access to one or more Accounts.

Users:

Individuals or entities who register for and utilise the Platform's services. A User can have access to one or more Accounts, depending on their needs.

About Mywall.me

The Service constitutes a cloud-based software application and collaborative platform (hereinafter referred to as the "Platform") designed to facilitate the following functionalities:

Creator Profile Creation and Management:

The Platform allows Users to establish and maintain Creator profiles (hereinafter referred to as "Profiles") showcasing their skills and experience. These Profiles are then made discoverable by potential Clients.

Client Discovery and Booking Request Functionality:

The Platform provides Clients with the ability to browse and search for Profiles based on predefined criteria. Clients can then initiate booking requests directly through the Platform, expressing their interest in collaborating with specific Creators.

Booking Services and Agreement Facilitation:

The Platform streamlines the booking process by offering tools for negotiation and communication between Creators and Clients. Additionally, the Platform facilitates the formation of binding Booking Agreements that detail the specific terms of each collaboration.

Payment Processing:

The Platform integrates with a third-party payment service provider,Stripe, to enable secure and efficient transfer of fees between Clients and Creators, as stipulated within the agreed-upon Booking Agreements.

Account Registration Approval

Registration Eligibility and Requirements:

To register for the Service and establish an Account ( on the Platform, Users must complete the online registration process available on the Platform.

During registration, Users are required and obligated to comply with the following:

Age Requirement:

Users must be at least eighteen (18) years of age at the time of registration. An exception exists if the User is represented by a Talent Agency or a legal parent or guardian.

Accurate Information:

Users must provide true, accurate, current, and complete information about the legal entity they represent (if applicable) in response to all prompts within the registration form.

Data Maintenance:

Users are responsible for maintaining and promptly updating their registration information to ensure it remains true, accurate, current, and complete.

Account Approval Process:

• Following the completion of the registration process and Account creation, [Name of Platform] ("Platform") will conduct an evaluation of the User's social media profiles. This evaluation aims to determine whether the profiles align with the established Platform Guidelines.
• Platform possesses sole discretion in determining whether a User's social media profiles meet the Platform Guidelines. The Platform expressly reserves the right to refuse or cancel any Account registration without the obligation to provide a reason for such refusal or cancellation.

Booking Request and Formation of Agreement:

• Clients are granted the ability to submit booking requests to any Creator on the Platform. These booking requests must contain a concise summary of the proposed collaboration's terms and conditions, including the remuneration to be paid by the Client to the Creator.
• Upon receiving a booking request via email notification, the Creator has the sole discretion to accept or decline the request.A binding Booking Agreement is formed between the Creator and the Client upon the Creator's acceptance of the booking request.

Performance of Booking Agreements:

• Following the completion of the services outlined in the Booking Agreement, the Creator is obligated to submit proof of the completed work and achieved results through the Platform.
• The Client will be notified by email that the Creator has fulfilled their obligations under the Booking Agreement and will be provided with a link to review the submitted proof of work.
• Client satisfaction with the Creator's performance under the Booking Agreement is signified by marking the Booking Agreement as "Completed" on the Platform.

Platform Disclaimer Regarding Booking Agreements:

Mywall ("Platform") is not a party to any Booking Agreements established between Creators and Clients. The Platform expressly disclaims any responsibility or liability arising from or related to such agreements.

Payment and Release of Remuneration:

• All payments for services rendered under a Booking Agreement will be processed through Stripe, a third-party payment service provider. Users are encouraged to review the terms and conditions governing Stripe's payment services, including information regarding applicable fees associated with their services, through the following links: [link 1] [link 2].
• Client acceptance of a Booking Agreement marked as "Completed" triggers the release and payout of the agreed-upon remuneration to the Creator (the "Payout"), net of any applicable service fees charged by the Platform and Stripe. Exceptions exist for Booking Agreements specifying ongoing payments, in which case payouts will be released continuously in accordance with the specific terms of the Booking Agreement.

Restrictions & Creator Responsibilities

• In consideration of your access and use of the Service, you represent, covenant, and warrant that your use will comply with all applicable laws and regulations, including intellectual property and privacy rights, and will not infringe upon, misappropriate, or harm the Service or any other user's use of the Service. You are solely responsible for all content you upload, post, or share through the Service, including content created for Client collaborations, and you represent that you have obtained and maintain all necessary rights to any materials (including text, images, audio, and music) used in such content. You are further responsible for your performance of services under any Booking Agreement established with a Client, the accuracy and propriety of any comments or ratings provided through the Platform's feedback functionality, and all messages transmitted through the Service. You are obligated to maintain the security of your Account credentials, passwords, and associated files, and you are solely responsible for all activity that occurs under your Account. In the event you suspect any unauthorised use of your Account or a security breach, you are obligated to provide immediate written notification to Mywall. By connecting a third-party service like a YouTube channel to your Platform account, you acknowledge and agree to be bound by the terms of service associated with that third-party service, and you remain solely responsible for ensuring your compliance with those terms.
• Your use of the Service must not promote any content that invades privacy, is degrading, defamatory, libellous, unlawful, profane, obscene, pornographic, hateful, discriminatory, or illegal (including gambling where prohibited, illegal substances, software piracy, or hacking). It must also not infringe on intellectual property rights or promote software piracy or internet abuse (like spam, malware, or hacking tools). Additionally, you are prohibited from attempting to reverse engineer, decompile, disassemble, or modify the Service or its software, or to use it for the benefit of someone else.

Intellectual Property Rights & License Grant

• Mywall.me asserts complete ownership and intellectual property rights over the Service and all related technologies, including any algorithms, processes, derivatives, modifications, or improvements created by them. You (the User) are granted a non-exclusive, non-sublicensable, and non-assignable licence to use the Service solely for your internal business operations and in accordance with this Agreement. While you retain ownership of any data entrusted to mywall.me for processing, you also grant mywall.me a non-exclusive, non-transferable, worldwide, royalty-free, perpetual, and irrevocable right to use or reference content created under Booking Agreements formed through the Service for marketing purposes, including promoting Creators, showcasing their work, and using their names and likenesses. Additionally, mywall.me reserves the right to utilise anonymized and aggregated data derived from your activity for the purpose of improving and developing their products and services.

Modification of the Service and Agreement Amendments

Right to Modify the Service and Agreement:

Mywall.me ("Platform") reserves the express right to modify the Service and these Terms ("Agreement") at any time and in its sole discretion. The most current version of the Agreement will be accessible at all times through the Platform website at https://mywall.me

Notification of Material Changes:

In the event the Platform implements material changes to the Agreement, Users will be notified via email or through a prominent announcement displayed on https://mywall.me.

User Acceptance of Modifications:

Your continued use of your Account or the Platform following the publication of any modifications to the Agreement constitutes your acceptance of the updated terms. If you are unwilling to accept the modifications, you must cease all use of your Account and may request account deletion by contacting us.
